ACCEPTING OUR TERMS
By proceeding with an order — paying a deposit, delivering materials, or issuing instructions — you accept these Terms.
New clients confirm acceptance when completing our client intake form.
For repeat clients, acceptance on a prior order extends to all subsequent orders.
The entity named in your order confirmation is the contracting party.
WHO WE ARE AND WHAT WE DO
OS Sampling Production is a London bespoke studio specialising in garment sampling, design development, and precision textile production.
Our work spans collection sampling, bridal and made-to-measure, evening wear, and bespoke textile commissions including fine table linen and soft furnishings.
Services include: pre-production sampling; design development; pattern cutting, development and grading; CMT garment construction; alterations; embroidery; pattern handover; and bespoke textile production.
All work is carried out on a bespoke basis to client specification.
PAYMENT
Deposit: 50% due on order confirmation — production does not start without it.
Balance: Due on completion and before goods are released.
Goods, patterns and materials are held until all fees are paid in full.
For longer or higher-value projects we may request interim progress payments — confirmed in writing; non-payment may result in work being suspended.
Late payment: interest accrues at 3% per month on amounts overdue by more than 14 days; overdue payment entitles us to suspend all active work for that client until cleared.
Card payments: 3% processing fee applies.
Storage: charge applies if items not collected within 14 days; treated as abandoned after 60 days.
ESTIMATES & PRICING
Estimates and quotations are valid for 30 days unless otherwise stated.
Estimates are indicative only — not fixed quotes until confirmed in writing.
All prices are exclusive of VAT (charged at applicable rate).
Fixed price: agreed and confirmed in writing before production — will not change without your agreement.
Complex, bespoke or one-off work: charged on a time and materials basis, calculated at completion.
If we anticipate the final amount will materially exceed the estimate, we will let you know before continuing.
Materials sourced on your behalf: charged at cost plus a handling fee — calculated at completion, confirmed in your order record or invoice.
Hourly rates confirmed in writing with each estimate or quotation.
CLIENT-SUPPLIED MATERIALS
You are responsible for supplying sufficient quantity and correct quality.
In the event of damage or loss, our liability reflects our fees for the work — not the market value of your materials.
Applies to all items: garments, tablecloths, soft furnishings, and other textiles — including alterations.
Fabrics over £50/m: notify us at order stage so we can discuss handling.
Normal cutting waste is inherent to production and is not compensable.
Quantity estimates we provide are indicative only — we recommend buying at least 10% above our suggested quantity.
If materials prove insufficient during production, work may be suspended until more are supplied.
On receipt we carry out a visual check for obvious issues (wrong colour, wrong fabric type) — we cannot inspect the full quality or quantity of rolled or packaged materials before cutting; any issues found during production are flagged promptly.
PATTERNS
Client-supplied patterns: you warrant accuracy — we produce to your spec, not liable for errors in it.
Studio-created patterns (physical & digital): held until full payment; digital files provided in agreed format on payment.
Grading is a separate chargeable service.
Grading included in production: we take full responsibility — discrepancies caught in our pre-production sample process.
Grading handover only (we grade, you or your factory produce): liability capped at grading fees; we are not liable for production losses from files used in production we did not oversee. Verification sample strongly recommended.
Remote adjustments (without physical sample): we cannot guarantee accuracy and accept no liability — proceeding without verification is at your own risk.
PRODUCTION PROCESS
Pre-production sample required before bulk production — written approval needed to proceed.
Sample approval is final — you cannot reject production items on grounds visible in the approved sample.
Changes after approval: treated as new instructions; may incur extra charge and delay.
Fittings: all client instructions and adjustments arising from fittings are chargeable at our applicable rates.
Made-to-measure and bridal: garments are made to measurements at the time of order — changes in measurements or body shape after that point are not our responsibility; adjustments are chargeable.
Timelines are estimates — clock starts only after deposit + materials + written sample approval.
Delays caused by the client extend the timeline by an equivalent period.
TOLERANCES & INSPECTION
Manufacturing tolerance: ±1.5 cm at any measurement point — natural variation is normal, not a defect.
You have 7 days from collection/receipt to notify defects in writing.
Defects must identify specific items — whole-order rejection is not permitted.
Remedy for confirmed workmanship defects: labour to repair or re-make only — replacement materials are the client's responsibility.
LOGOS, TRADEMARKS & BRANDED MATERIALS
You warrant that you have rights to use all logos, labels and trademarks you ask us to apply.
This includes third-party brands (e.g. your client's branding applied at your instruction).
You indemnify us against any IP infringement claim arising from branded materials we apply at your direction.
INTELLECTUAL PROPERTY
Your designs, sketches, branding and creative concepts remain yours at all times.
Designs we develop for you at your request transfer to you on full payment of all fees for that work.
Our manufacturing know-how (blocks, grading systems, construction methods) belongs to us — not transferred.
Photography and portfolio use: prior written consent required from both sides in each instance.
We treat all your business and design information as confidential.
CANCELLATION
Deposit is non-refundable once production has commenced or costs incurred.
Order more than 50% complete: we may charge up to the full order value.
If we ordered materials at your instruction before the relevant payment was received, those costs are included in any cancellation charge.
LIABILITY
Total liability reflects the fees paid for the relevant work.
Grading handover and remote adjustments: no liability — see Patterns above.
Workmanship defects: labour only — replacement materials are the client's responsibility.
No liability for indirect or consequential losses (lost profits, lost sales, reputational loss).
Standard exceptions: fraud, death/personal injury, other non-excludable liability.
Buying as a consumer for personal use: your statutory rights are not affected by these Terms.
GENERAL
Governing law: England & Wales — exclusive jurisdiction of English courts.
We may update these Terms; updated version published with new effective date.
Orders confirmed before an update remain on the Terms in force at that time.
A separate Manufacturing & Production Agreement, where signed, takes precedence on commercial terms.
An NDA, where signed, governs confidentiality.
